Contact SupportThis Vendor Agreement sets forth the terms and conditions for vendors listing products or services on the sükí platform.
Important Notice: sükí is currently in development and operating as an alpha/beta service. sükí is a personal hobby project operated independently. This service is provided "AS IS" and may be unreliable, incomplete, or subject to errors. Use at your own risk.
Directory Service Only: sükí is a directory and listing service only. We do not facilitate, process, or handle any transactions, payments, or money transfers. All transactions occur directly between vendors and customers outside of our platform (via email, external websites, or other means). We are not a party to any transactions and assume no liability for any transactions between vendors and customers.
Geographic Restriction: sükí is currently available only to vendors and customers located in California, United States. We reserve the right to restrict access based on geographic location.
Invite-Only Status: sükí is currently operating on an invite-only basis. Vendor accounts are subject to approval, and we reserve the right to approve or deny vendor applications at our sole discretion.

Prohibited Products and Services: You may not list:
Current Status: sükí is currently free to use. There are no platform fees, listing fees, or transaction fees at this time. We reserve the right to introduce fees in the future with 30 days' notice.
No Transactions on Platform: All transactions, payments, and money transfers must occur outside of the sükí platform. sükí does not process payments, handle money, or facilitate transactions in any way.
Vendor Responsibility: Vendors are solely responsible for:
Platform Role in Disputes: sükí has no role in disputes between vendors and customers. We do not mediate, arbitrate, or intervene in any disputes, refund requests, or customer complaints. All such matters are solely between the vendor and customer. We are not responsible for, and assume no liability for, any transactions, payments, disputes, refunds, or any other interactions between vendors and customers.
Future Changes: This agreement may change significantly when sükí introduces payment processing features in the future. Vendors will be notified of any material changes to this agreement.
Vendors retain ownership of their intellectual property but grant sükí a license to use, display, and distribute their content in connection with the platform.
Vendor Warranty: By posting content on sükí, you represent and warrant that:
Intellectual Property Infringement: If you believe that a vendor's listing infringes your intellectual property rights, please contact our designated agent at [email protected] with a DMCA takedown notice. We will investigate and may remove infringing content. See our DMCA Policy for more information.

Consequences of IP Violations: If we receive a valid DMCA takedown notice or determine that a vendor's content infringes intellectual property rights, we will:
Either party may terminate this agreement at any time, with or without notice. sükí reserves the right to suspend or terminate vendor accounts immediately, without notice, for violations of this agreement or our Terms of Use.
Effect of Termination: Upon termination of your vendor account:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, sükí IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR:
THIS SERVICE IS IN DEVELOPMENT AND MAY BE UNRELIABLE, INCOMPLETE, OR SUBJECT TO ERRORS. USE AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, sükí, ITS OPERATORS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM:
WE ARE A DIRECTORY SERVICE ONLY AND ASSUME NO LIABILITY FOR TRANSACTIONS THAT OCCUR OUTSIDE OUR PLATFORM. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED $0.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS sükí, ITS OPERATORS, AFFILIATES, SERVICE PROVIDERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, OBLIGATIONS, LOSSES, LIABILITIES, COSTS, DEBT, AND EXPENSES (INCLUDING BUT NOT LIMITED TO REASONABLE ATTORNEY'S FEES) ARISING FROM:
(a) Your use of the sükí platform as a vendor; (b) Your listings, products, services, or content; (c) Your transactions, communications, or interactions with customers; (d) Your violation of this Vendor Agreement, our Terms of Use, Acceptable Use Policy, or any other policy; (e) Your violation of any third party right, including intellectual property rights; (f) Any claim that your listings, products, or services caused damage to a customer or third party; (g) Your violation of any applicable law or regulation; (h) Any customer complaints, disputes, refunds, or claims related to your products or services.
THIS INDEMNIFICATION OBLIGATION WILL SURVIVE THE TERMINATION OF THIS AGREEMENT AND YOUR USE OF OUR PLATFORM.
